1. Acceptance of Terms
By accessing or using the SendHup platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and SendHup.
2. Description of Service
SendHup provides a cloud-based messaging platform that enables users to send SMS messages and emails through our infrastructure. The Service includes access to our web dashboard, APIs, and related tools for managing messaging workflows.
3. Account Registration
To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
4. Acceptable Use
You agree not to use the Service to:
- Send unsolicited messages (spam) or messages without proper recipient consent
- Transmit content that is illegal, harmful, threatening, abusive, or harassing
- Impersonate any person or entity, or misrepresent your affiliation
- Distribute malware, viruses, or any other harmful software
- Violate any applicable local, national, or international law or regulation
- Interfere with or disrupt the Service or servers connected to it
- Attempt to gain unauthorized access to other accounts or systems
5. Messaging Credits & Payments
The Service operates on a credit-based system. Credits are purchased in advance and consumed when messages are sent. Credits are non-refundable except where required by law. Pricing is subject to change with 30 days' prior notice. All fees are exclusive of applicable taxes unless stated otherwise.
6. Service Level & Availability
We strive to maintain 99.99% uptime for the Service. However, we do not guarantee uninterrupted or error-free operation. Scheduled maintenance windows will be communicated in advance. We are not liable for any downtime caused by factors outside our reasonable control, including internet outages, carrier failures, or force majeure events.
7. Intellectual Property
All intellectual property rights in the Service, including software, design, and documentation, remain the exclusive property of SendHup. You retain ownership of all content you transmit through the Service. By using the Service, you grant us a limited license to process your content solely for the purpose of delivering the Service.
8. Limitation of Liability
To the maximum extent permitted by law, SendHup shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid to SendHup in the twelve (12) months preceding the claim.
9. Termination
Either party may terminate this agreement at any time. We reserve the right to suspend or terminate your account immediately if you violate these Terms or engage in any activity that could harm the Service or other users. Upon termination, your right to use the Service ceases immediately and any remaining credits are forfeited.
10. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before taking effect. Continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which SendHup operates. Any disputes arising from these Terms shall be resolved through binding arbitration, except where prohibited by law.
